Learning objectives
By the end of the course, students should be able to
(1) Understand the business environment, in terms of corporate governance norms, rules, and ownership structures in different countries, in which managers are operating, as well as to identify relevant parameters (and subsequent challenges and opportunities), depending on the business environment they are in.
(2) Assess the relative importance of different economic actors (e.g., different types of blockholders and other investors, activists, governments) and how they may affect managerial decision-making in terms of business investments, capital structure, and investments in environmental and social issues.
(3) Identify and analyze corporate governance (agency) problems, as well as knowing the tools that may address such problems.
(4) Critically assess the mechanisms used to govern firms, such as incentives for managers, the roles and functioning of the board of directors in different countries, and anticipate possible outcomes, challenges and opportunities in terms of managerial careers, corporate finance, strategy and performance.

Course content, structure and pedagogical approach

Corporate governance, i.e., the system by which companies are directed and controlled, including in terms of resource allocation, attracts considerable attention for several decades across the world. This interest has intensified by failures of companies, as the cases of Enron, Parmalat, Ahold, or Lehman Brothers have shown, but also by the more recent quest for a more sustainable and inclusive corporate governance. Against this backdrop, the course reviews core corporate governance issues that lay behind such failures and criticisms. It takes a closer look to the theoretical foundations of corporate governance, the actual corporate governance mechanisms that are used in different countries, such as the ways owners and board directors incentivize managers and ensure their accountability, and to evidence regarding the impact of governance for managerial careers, corporate finance, strategy, performance, and social responsibility. 

 

The course relies on scientific, facts-based knowledge, and aims to enable students to detect patterns and parameters that may affect managerial decision-making as well as understand their likely outcomes. 

 

Description of the teaching methods
The teaching methods employed are lectures, cases, class discussions and debates, and team assignments.

The students will have the possibility to ask for feedback on all assignments throughout the course from the professor.

The course coordinator uploads Preliminary Assignment on Canvas at the end of May. It is expected that students participate as it will be included in the final exam, but the assignment is without independent assessment & grading.
