Learning objectives
The students will have to demonstrate knowledge of the basic Corporate Governance principles, and its role in value creation for the firm. The students must be able to identify the specific characteristics of the Nordic Corporate model. The students must be able to prepare a written analysis of four individual business cases, and to find the relevant aspects of corporate governance that impacted each case. The students must in this regard be able to identify the role which the individual actors in the company played in the case (management, shareholders, auditors, and other third parties). The students must analyse the impact that corporate governance played for each of these groups

Passed HA, HD, HA(jur.) or the like

Compulsory home assignments
At each workshop each team shall prepare an oral presentation and a written report on the case presented.

Description of the exam procedure

The student must pass the 4 team-presenations to be able to participate in the final exam.


Course content and structure

The Study group is a cooperation betweeen four Nordic Universities.


The study Group requires a group of four students.


The course consists of four workshops with participants from 4 Nordic Universities. At each workshop, the student shall work in a team of four students, one from each country.


Ths students from each country prepares a case regarding a company of their own country, and presents the case to the students from the other countries.


The four universities participating are:


  • Copenhagen Business School, Denmark

  • Hanken business School, Helsinki, Finland

  • Stockholm Business school

  • BI Norwegian Business School, Oslo

    The course concerns following areas:


    • Corporate Governance principles

    • The Nordic Corporate Governance Model

    • Corporate Governance and value creation

    • The role of Corporate Governance in a corporate crisis

    The power of the shareholders

Description of the teaching methods
Teaching methods:

Four workshops, which shall result in a oral and written presentation of the analysis of the case.
Feedback during the teaching period
The students are given individual feedback on the basic of each oral and written report
